What usually brings a CFO to this page

Your current auditor has grown past you, and you are now a small account at a firm with bigger ones.
Fieldwork requests arrive as a trickle of emails, and issues surface at the closing meeting instead of when they were found.
You are filing a first 10-K and do not yet know what the audit will actually ask for.
You have warrants or convertible notes and the classification question keeps moving.
You are changing auditors mid-year and need to understand the Item 4.01 mechanics.
The partner who sold you the engagement has not been on a call since.
What we do

Issuer audit and interim review, under PCAOB standards

Integrated audits supporting Form 10-K, 10-Q, 8-K, S-1, S-11 and Form 10 filings, and the financial statement requirements of Nasdaq, NYSE, OTC Markets and the Texas Stock Exchange.

Risk assessment and audit planning built for your entity, not from a template
Substantive testing of significant accounts, estimates and related-party transactions
Quarterly interim reviews under AS 4105, on the same calendar as the annual audit
Review of Regulation S-X presentation and disclosure
Audit committee and governance communications
Engagement quality review before the report is issued
Form AP filing identifying the engagement partner
Auditor-change mechanics where you are transitioning from a predecessor firm

The SEC Filer Audit & Interim Review Readiness Checklist

A one-page checklist of what an issuer audit and a quarterly interim review will ask of your finance team — written for companies filing their first or second year.

  • The 14 schedules requested in almost every issuer audit
  • What an AS 4105 interim review covers, and what it does not
  • Equity and instrument documentation auditors ask for first
  • Related-party and going-concern documentation to prepare early
  • Auditor-change steps and Item 4.01 timing

We plan backward from your deadline

Registration statements and periodic reports run on dates set by the Commission. Our planning, fieldwork and review schedule are built backward from yours.

A dated engagement calendar before fieldwork begins
One consolidated request list, not a trickle of emails
Weekly written status against the calendar
Issues raised the week we find them
Partner reachable directly when a date is at risk
The partner who scopes the work stays on it

If we prepare it, we cannot audit it

Independence rules do not permit a firm to audit financial statements it prepared. If JV CPA performs your accounting or financial statement preparation, your audit must be performed by a different firm. We settle which role we can take in the first conversation.

Questions

Before you book

Are you registered with the PCAOB?

Yes. JV CPA INC. is registered with the Public Company Accounting Oversight Board, Registration No. 7333. Issuer engagements are subject to PCAOB oversight and inspection, and our Form AP filings are publicly available through the PCAOB.

Can you also prepare our financial statements?

Not if we are your auditor. SEC and PCAOB independence rules prohibit auditing financial statements the audit firm prepared. If you need preparation work, we can do that instead — but the audit would go to another firm. We settle which role we take before you engage us.

We are mid-year and changing auditors. Is that realistic?

Sometimes. Auditor changes carry their own mechanics: predecessor communications, Item 4.01 reporting and re-audit considerations. Bring us the specifics and we will be direct about whether the timeline works.

Who actually does the work?

The partner who scopes the engagement stays on it through report issuance. You will not be handed to a rotating team after the proposal.

Tell us your filing date

Pre-registration, first 10-K, a quarter that needs reviewing, or an audit already underway. Start with the date and we will work back from it.
