Bring us the covenant language. Lenders often ask for an audit when a review satisfies the requirement.

What usually brings an owner or CFO to this page

A loan agreement or covenant suddenly requires audited or reviewed financial statements.
An investor is coming in and wants outside assurance before closing.
Your board or new outside shareholders want independent financial statements.
You are two or three years from selling and want clean history in place.
Your bookkeeping has outgrown the person doing it, and it shows.
You have never been audited and have no idea what it will involve.
What we do

Audit, review or compilation — matched to what you actually need

These are three different services at three different levels of assurance and three different costs. Buying the wrong one is common and expensive.

Audit under GAAS — reasonable assurance, with an opinion on the financial statements
Review under SSARS — limited assurance through analytical procedures and inquiry
Compilation under SSARS — financial statements presented without assurance
A plain read of your covenant or investor language before you buy more than you need
Management letter with control and process observations you can act on
Communications with owners, boards or lenders as the engagement requires
First-audit support, where opening balances and processes are being established
Coordination with your existing bookkeeper or accounting firm

Your First Audit: The Preparation Checklist

What a private company audit actually asks for, in the order it gets asked — so the first one does not land on your team all at once.

  • Audit vs review vs compilation, and how to read your covenant
  • The documents to start gathering the day you sign
  • Where first audits most often stall, and why
  • Revenue and inventory documentation that takes longest to produce
  • Questions to ask any firm before you engage them

We will send the checklist and nothing else unless you ask. No fee information is collected on this page.

We plan backward from your deadline

Covenant dates, closing dates and board meetings do not move. The engagement calendar is built backward from yours and put in writing before fieldwork starts.

A dated engagement calendar before fieldwork begins
One consolidated request list, not a trickle of emails
Weekly written status against the calendar
Issues raised the week we find them
Partner reachable directly when a date is at risk
The partner who scopes the work stays on it

If we prepare it, we cannot audit it

Independence rules do not permit a firm to audit financial statements it prepared. If JV CPA performs your accounting or financial statement preparation, your audit must be performed by a different firm. We settle which role we can take in the first conversation.

Questions

Before you book

What is the difference between an audit and a review?

They are performed under different standards. An audit follows Generally Accepted Auditing Standards, provides reasonable assurance and results in an opinion. A review follows SSARS, provides limited assurance based on analytical procedures and inquiry, and costs meaningfully less. Which one you need is usually written into your loan agreement — we will read it with you.

Can you do our bookkeeping and our audit?

No. If we prepare your financial statements, independence rules require the audit be performed by another firm. We will tell you which role we can take at the outset.

Is your firm peer reviewed?

JV CPA INC. is enrolled in the peer review program; our first review is not yet due. Our issuer engagements are separately subject to PCAOB oversight and inspection.

We have never been audited. How disruptive is it?

The first audit is the heaviest, because opening balances and processes are being established for the first time. We front-load the request list so the work lands in a block rather than dragging across your quarter.

Send us the requirement

Forward the covenant language or the investor request. We will tell you what level of service it actually calls for and whether the date is achievable.
